Here are a few Hints and Tricks we can give you so you could understand what is generally needed to open a Limited Liability Company in Hawai'i.

You will generally need to;

  1. Create a name for your business (keep in mind that in the State of Hawaii your business name needs to have LLC at the end. Make sure that the name you chose isn't already taken)

  1. Federal Identification Number (think of this as a Social Security number for your business so that the govenrment can identify it as a seperate entity) FREE

  2. Register the LLC business with the State (you have to register your business with the state to aquire articles of formation) $50

  3. Retrieve a General Excise number (a GE number is kind of like a social security number that the state will use to keep record of your state tax payment) $20

  4. Create an Operating Agreement (Operating agreements are not required in this state but are highly recommended and needed to open a business bank account)

It is highly advisable that you also open a Business Checking Account. Keep your personal transactions seperated from business transactions.

What is an LLC ? Why should I have one?

  • LLC stands for Limited Liability Company.

  • An LLC is seen as an individual entity by the state and government. Think of it like its own person, anything you purchase under the entity will remain seperate from your personal purchases.

  • An LLC entity can build its own credit, while a sole proprietorship cannot. Meaning, your business can apply for credit cards and loans to use as resources to grow your business exponentially.

  • If your business gets sued, they do not have access or claim to your personal assets, they can only go after what is within your business. Hence "Limited Liability"

  • If the business incurs any debts, you are personally not liable for them.


Should I open a seperate Business Bank Account?

YES, You should open a business checking/savings account. Manage your business finances seperate from your personal finances. Confusing personal and business transactions will not only provide inaccurate financial data, but it will confuse the IRS and inevitably raise question about wether or not your transactions are business associated or not.


Why should I hire someone to open a business? Can't I just do it myself?

You can most definetly create and open your business yourself. It is possible, but if you do not know the steps and requirements needed to take to open a business legally and effieciently, you could very easily miss a step.
